As your company’s part-time, real-time general counsel, Bill offers a variety of legal services, including:​
  • Deals, Ventures, and New Companies. Manage and draft the legal documents associated with your next big opportunity, be it a joint venture, strategic supply arrangement, or a new facility in Amsterdam or China. If it’s a merger or acquisition, help you set strategy and manage the work of outside counsel after negotiating their fee, making sure you don’t overspend for legal.

  • Contracts. Quickly draft up and/or negotiate contracts for more routine arrangements including job offers, leases, software licenses, and equipment purchases.

  • Disputes. Help you evaluate any kind of legal dispute, big or small, to determine whether it’s worth pursuing or how it might most efficiently be resolved, and then act for the company communicating with the other side toward resolution.​

  • Litigation and Settlement. If early resolution of a dispute is not possible, help select the right outside counsel to litigate the matter, negotiate the terms of that engagement, and then manage and monitor legal activities to ensure quality and cost control through the process, all while continually seeking openings for the earliest, best potential settlement.

  • IP Strategy. If you go to a patent lawyer, that lawyer will draft for you as many patents as can be drafted. But who will help you evaluate objectively and from a practical business perspective whether those patents are worth the effort and cost? Or whether you’re missing other IP opportunities or risks? Bill will help you with the big picture without pushing you toward work or expense that won’t be useful.​
  • Marketing and Advertising. Marketing is a highly regulated activity and the Federal Lanham Act creates enormous risks related to advertising that could be perceived as false or misleading.  Bill can help you review these risks and work toward advertising claims that help the business in both the short and the long run.

  • Employee Codes of Conduct. Do you have one? When an employee “goes rogue” – maybe through some bad-judgment social media comment, or by giving a bribe, or by talking to a competitor about pricing (an anti-trust headache), or by ignoring a safety problem, your Code of Conduct compliance process is the backbone to your defense to regulatory or even criminal liability.

  • Human Resources. While not a specialized labor/employment lawyer, Bill has plenty of experience getting to practical and risk-controlled resolutions on common HR issues and terminations, without the need for hiring a designated L&E practitioner.

  • General Legal Triage.  Your business has a variety of questions, problems and issues, large and small, that can erupt and distract company leaders from their primary, revenue-generating duties. Bill takes those headaches off their plates and works to solve them quickly and practically while allowing business managers to focus on their “real” jobs. And once Bill knows you, your risk tolerance and personality, greater efficiencies can be obtained while managers are kept engaged at the strategic level. It's at that point when your business will realize the value of having a legal problem solver on your business team.
